Introduction


Welcome to Biz Growth Engines (“Biz Growth Engines,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our websites, platforms, tools, and services, including any content, functionality, or services offered by Biz Growth Engines and its sub-brands (collectively, the “Services”).

Biz Growth Engines operates as an AI Automation and Growth Agency and may do business under the following names (“DBAs”):

By accessing our websites, submitting forms, booking consultations, or using our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Services.


1. Services

Biz Growth Engines provides AI-powered automation, growth systems, and consulting services, including but not limited to:

  • AI automation design and implementation
  • CRM, messaging, and workflow automation
  • Lead management, intake, and customer communication systems
  • Strategic consulting, product, project, and process optimization
  • Ongoing support, optimization, and advisory services

Specific deliverables, scope, timelines, and fees will be outlined in a separate written agreement, proposal, or statement of work.


2. Client Responsibilities

You agree to:

  • Provide accurate, complete, and current information
  • Provide access to systems, platforms, or accounts as required for service delivery
  • Ensure that you have obtained all necessary rights, permissions, and lawful consent to contact your own customers, leads, or users
  • Use the Services only for lawful purposes and in compliance with all applicable laws and regulations

Biz Growth Engines is not responsible for your failure to comply with marketing, privacy, or communications laws applicable to your business.


3. Pricing and Payment

Pricing for Services will be agreed upon in writing. Payments are due as specified in invoices or agreements. Late or unpaid balances may result in suspension or termination of Services.


4. Subscriptions, Trials, and Digital Products

  • Subscriptions: Certain Services may be offered on a subscription basis. Billing frequency and renewal terms are disclosed at purchase.
  • Trials: Free trials or promotional periods may be offered. Unless canceled before the trial ends, subscriptions may automatically convert to paid plans.
  • Digital Products: All digital products (templates, automations, documentation, or downloads) are provided “as is” and are non-refundable once delivered.
  • Cancellations: Subscription cancellations must be made before the next billing cycle. Access continues until the end of the current period.


5. Communications, Email, and SMS

By submitting your contact information and, where applicable, checking a consent box, you agree that Biz Growth Engines and its DBAs may contact you by email, phone, or SMS text message in accordance with these Terms and our Privacy Policy.


SMS Communications

  • SMS messages may include, but are not limited to:
  • Appointment confirmations or reminders
  • Account, onboarding, or service updates
  • Support or operational notifications
  • Occasional service-related or promotional messages (only where you have explicitly opted in)

Message frequency may vary. Message and data rates may apply. Consent is not a condition of purchase.


Opt-Out

  • You may opt out of SMS messages at any time by replying STOP to any message. After texting STOP, you may receive a final confirmation message and will no longer receive SMS communications unless you opt in again.

Carrier Disclaimer

  • Mobile carriers are not liable for delayed or undelivered messages.

Age Restriction

  • You must be 18 years of age or older to opt in to receive SMS communications from Biz Growth Engines or its DBAs.

Security Notice

  • Electronic communications are not always secure. Please avoid sending highly sensitive or confidential information via unencrypted email or SMS.


6. Data Privacy and Confidentiality

Biz Growth Engines takes reasonable precautions to protect data shared during service delivery and aims to comply with applicable data protection laws, including PIPEDA.

Clients remain responsible for ensuring their own compliance with privacy, consent, and data protection regulations applicable to their businesses.

7. Force Majeure

Biz Growth Engines shall not be liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, government actions, cyber incidents, third-party outages, or other unforeseen events.


8. Acceptable Use

You agree not to use the Services to:

  • Engage in illegal, fraudulent, or deceptive activity
  • Send unauthorized, misleading, or non-compliant communications
  • Violate intellectual property, privacy, or data protection laws
  • Harm, disrupt, or exploit our systems or platforms

We reserve the right to suspend or terminate Services for violations.


9. Intellectual Property

All intellectual property, including software, automations, workflows, content, designs, and methodologies, remains the property of Biz Growth Engines unless otherwise agreed in writing.

You are granted a limited, non-exclusive, non-transferable license to use such materials solely in connection with the Services.


10. Earnings and Results Disclaimer

We do not guarantee specific results, revenue, or outcomes. Any examples, projections, testimonials, or case studies are illustrative only and should not be interpreted as guarantees.


11. Third-Party Services

We may integrate third-party tools or platforms (e.g., messaging providers, CRMs, automation tools). These services are governed by their own terms, and Biz Growth Engines is not responsible for third-party failures, outages, or data practices.


12. Termination

Either party may terminate Services with written notice. You remain responsible for payment for all Services rendered up to the termination date.


13. Limitation of Liability

To the fullest extent permitted by law, Biz Growth Engines shall not be liable for indirect, incidental, special, or consequential damages.

Our total liability shall not exceed the total amount paid by you for Services in the 12 months preceding the event giving rise to the claim.


14. Indemnification

You agree to indemnify and hold harmless Biz Growth Engines, its affiliates, DBAs, employees, and contractors from any claims, damages, losses, or expenses arising from:

  • Your use or misuse of the Services
  • Your violation of applicable laws or regulations
  • Your failure to obtain proper consent from your customers or users


15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Canada and the Province in which Biz Growth Engines operates, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration unless otherwise required by law.


16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
